1. Who we are
These Terms of Service ("Terms") govern your use of https://easyllc.live and the services offered by Shaikh Mohd Sakib ("easyLLC", "we", "us", "our"), a business registered in India. By purchasing or using our services, you agree to these Terms.
2. What we do
easyLLC helps non-U.S. founders form and maintain U.S. limited liability companies. Our services include:
- Formation of a Wyoming single-member LLC, including preparation and submission of formation documents to the Wyoming Secretary of State;
- Coordination of a registered agent in Wyoming on your behalf;
- Procurement of a U.S. Employer Identification Number (EIN) from the IRS;
- Annual compliance filings, including U.S. federal Form 5472 with a pro-forma Form 1120, and the Wyoming annual report.
The exact services you receive depend on the package you purchase, described at checkout.
3. What we do NOT do
We are a filing and compliance-facilitation service. We are not a law firm, an accounting firm, or a registered tax preparer, and we do not provide legal, tax, financial, or investment advice. Specifically, we do not:
- Provide legal advice or act as your attorney;
- Provide tax advice, calculate your tax liability, or determine what you owe;
- Represent you before the IRS or any tax authority, including in audits or examinations;
- Form or maintain multi-member LLCs on an ongoing basis, C-corporations, or make S-corporation elections (which are unavailable to non-resident alien owners under U.S. law);
- Open bank accounts on your behalf or take custody of your funds beyond our own service fees;
- File Beneficial Ownership Information (BOI) reports, which are not required for U.S.-formed entities under current rules.
Where your situation calls for professional advice, we may coordinate with a licensed Chartered Accountant or refer you to an appropriate professional. Any such professional is responsible for their own advice.
4. Your responsibilities
You agree to:
- Provide accurate, complete, and current information, including identity and address details required for formation, EIN procurement, and banking preparation;
- Promptly respond to requests for information or documents needed to complete your filings;
- Use the services only for lawful purposes and in compliance with applicable U.S. and local laws;
- Not use our services to facilitate fraud, money laundering, tax evasion, sanctions violations, or any illegal activity.
You are solely responsible for the accuracy of the information you provide and for your own ongoing legal and tax obligations. Filing deadlines (including the Form 5472 deadline, which carries significant IRS penalties for non-compliance) are ultimately your responsibility; we assist you in meeting them but cannot guarantee outcomes that depend on information or actions outside our control.
5. Fees and pass-through costs
Our pricing separates our service fee from third-party pass-through costs (such as state filing fees and registered agent fees). We charge pass-through costs at cost and do not mark them up. Pass-through costs are set by third parties and may change without notice.
6. Timelines
Formation and filing timelines depend on third parties, including the Wyoming Secretary of State, the IRS, and registered agents. We provide estimates in good faith but do not guarantee specific processing times.
7. No guarantee of outcomes
We use reasonable professional care in preparing and submitting your filings. We do not guarantee that any government agency, bank, or third party will approve any application, accept any filing, or reach any particular result, as those decisions are outside our control.
8. Limitation of liability
To the maximum extent permitted by law, our total liability arising out of or relating to the services is limited to the amount of the service fee you paid to us for the specific service giving rise to the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits, tax penalties, or third-party costs, except to the extent such liability cannot be excluded under applicable law.
9. Third-party services
Our services rely on and may link to third parties (for example, the IRS, the Wyoming Secretary of State, registered agents, payment processors, and banking providers). We are not responsible for the acts, omissions, terms, or availability of these third parties.
10. Intellectual property
All content on https://easyllc.live, including text, design, and branding, is owned by Shaikh Mohd Sakib or its licensors and may not be copied or reused without permission.
11. Termination
We may decline or discontinue service to any customer, including where required information is not provided, where we suspect fraud or unlawful use, or where continuing would violate applicable law or our payment processor's rules. Where we discontinue service before work has begun, our Refund Policy applies.
12. Changes to these Terms
We may update these Terms from time to time. The "Last updated" date reflects the latest version. Continued use of the services after changes constitutes acceptance.
13. Governing law
These Terms are governed by the laws of India, without regard to conflict-of-law principles. Any disputes will be handled in the courts of that jurisdiction, except where applicable law requires otherwise.
